A shareholder circular, which sets out details of the proposed business of the EGM, is available for you to view, together with the EGM Notice and the various other documents referred to in the circular, under the “EGM Documents” tab below.
Shareholders should read the circular in its entirety, including the documents referred to therein, and consider whether or not to vote in favour of the Resolutions in light of the information contained in the Circular.
The well-being of Shareholders and our people is a primary concern for the Board and we are closely monitoring the COVID-19 situation and any advice by the Government of Ireland in relation to the pandemic. If the current (or similarly more extensive) restrictions relating to COVID-19 are in force at the time of the EGM, the Company will be required to hold the EGM as a closed meeting (i.e. not generally open to the public). For this reason, the CRH Board encourages all shareholders to vote by proxy by appointing the chairman of the meeting as their proxy to vote on their behalf. Any update announcements regarding the EGM in the context of the evolving COVID-19 situation will be made available under the “EGM Arrangements” tab below.
Shareholders who wish to appoint a proxy electronically can do so by logging into signalshares.com, selecting CRH plc and registering for the share portal. Shareholders should note that they will need to have their investor Code (found on their share certificate and on the Form of Proxy recently sent to all shareholders by post) and follow the instructions online to register.
CREST members wishing to appoint a proxy via CREST should refer to the CREST Manual.

UPDATE REGARDING THE MIGRATION OF CRH PLC’s SHARES TO THE EUROCLEAR BANK CENTRAL SECURITIES DEPOSITORY
CRH plc (the “Company”) provides the following update in relation to the migration of Irish corporate securities from CREST to Euroclear Bank (“Migration”) under the Migration of Participating Securities Act 2019 (“2019 Act”).
Following the approval of all resolutions necessary to facilitate participation of the Company's ordinary shares in Migration at the extraordinary general meeting of the Company held on 9 February 2021, the board of directors of the Company confirm that in accordance with Resolutions 1 and 3 as approved by the shareholders at the EGM the Company has consented to the migration of its shares to the Euroclear Bank SA/NV central securities depository.

In its statement Euronext Dublin has advised that the Live Date on which Migration is to take effect is 15 March 2021 and further that, subject to final testing, this date will be formally appointed by Euronext Dublin as the Live Date for Migration on the evening of Friday, 12 March 2021.
Euronext Dublin previously announced that the effective time of the Live Date will be at 00:01 IST on 15 March 2021 and any change to this date will also be notified by Euronext Dublin via its website and by email.
Accordingly, no change is anticipated in relation to the timetable set out in the Company's EGM Circular in respect of Migration.

The EGM will commence at 11:00 a.m. on Tuesday, 9 February 2021. You can log in from 10:30 a.m. onwards on the day of the meeting. You will not be able to listen to the audio until the meeting is declared open.
Class Meetings of the 5% Cumulative Preference Shareholders of the Company and of the 7% ‘A’ Cumulative Preference Shareholders of the Company will be held at Stonemason’s Way, Dublin 16, Ireland on 9 February 2021 at 12.00 p.m. and 12.30 p.m. respectively in order for preference shareholders to consider, and if deemed appropriate, approve any changes in rights resulting from the Migration as detailed in the circular to shareholders dated 15 January 2021.
